These Terms of Service (the "Terms") govern your access to and use of the website https://zerothinkers.com and the professional services provided by Zero Thinkers LLC, a Wyoming, USA limited liability company. Please read these Terms carefully. They are a binding agreement between you and Zero Thinkers LLC, and they should be read together with our Privacy Policy and our Refund & Cancellation Policy, both of which are incorporated into these Terms by reference. 1. Acceptance of These Terms
By accessing this website, submitting our contact form, accepting a Proposal or Statement of Work, or paying an invoice, you agree to be bound by these Terms, the Refund & Cancellation Policy, and the Privacy Policy. If you are entering into these Terms on behalf of a company or other organization, you represent and warrant that you are authorized to bind that organization, and "you" and "Client" refer to that organization. If you do not agree to these Terms, you must not use our website or engage our services.
2. Presentation and Acceptance Before Payment
These Terms, together with the Refund & Cancellation Policy and the Privacy Policy, are presented to you and must be affirmatively accepted before any payment is made — for example, by ticking an "I agree" checkbox at Stripe checkout or on the applicable Proposal or Statement of Work. Your agreement is therefore formed before you are charged. This pre-purchase acceptance is intended to make the agreement clear, mutual, and defensible in the event of any payment dispute or chargeback.

4. Definitions
- "Zero Thinkers," "we," "us," and "our" mean Zero Thinkers LLC.
- "Client," "you," and "your" mean the individual or organization that engages us or uses our website or services.
- "Services" means the professional services described in these Terms and in any applicable Proposal or Statement of Work.
- "Deliverables" means the final work products we agree to create and deliver to you under an Engagement, such as files, a website, and accounts as specified in the applicable Proposal or SOW.
- "Proposal" or "SOW" (Statement of Work) means the written document that describes the specific scope, price, and timeline of an Engagement.
- "Engagement" means a specific project or ongoing arrangement under which we provide Services to you.
- "Fees" means the amounts payable for the Services, stated in U.S. Dollars (USD).
- "Client Materials" means content, logos, text, images, data, access, and accounts that you supply to us for use in an Engagement.
- "Pre-Existing Materials" means our tools, templates, frameworks, methods, code, and know-how that exist before, or are developed independently of, an Engagement.
- "Third-Party Materials" means materials owned by third parties (such as stock assets, fonts, plugins, or software) that are subject to their own licenses.
- "Working Day" means any day other than a Saturday, Sunday, or public holiday recognized in the United States.
5. Description of Services
Zero Thinkers is an AI-native brand and growth studio providing professional services. Our current offerings are:
- Zero Session — a free 30-minute consultation. There is no charge for this session.
- The Launch Sprint — a fixed-scope engagement starting from USD $4,900, delivered over a target of 21 Working Days. It covers brand identity, a website, and a go-to-market foundation, and includes setup of one commerce surface (checkout, bookings, or orders).
- Growth Partnership — an ongoing monthly service, scoped for each Client and billed monthly as described in the applicable Proposal or SOW.
- Custom work — services individually scoped and quoted through a written Proposal or Statement of Work.
We describe our Services in concrete terms and do not promise any specific business, revenue, traffic, ranking, sales, or growth outcome.
6. The Proposal or SOW Governs
The specific scope, price, timeline, and deliverables of any Engagement are set out in the applicable written Proposal or Statement of Work. Where a Proposal or SOW conflicts with these Terms on details specific to that Engagement, the Proposal or SOW controls for that Engagement. On all other matters, these Terms apply.
7. Engagement & Delivery Terms (The Launch Sprint)
- Fixed scope. The Launch Sprint is delivered to the scope agreed in the Proposal or SOW.
- Billing. Fees are billed 50% to begin the Engagement and 50% at delivery.
- Timeline. The target delivery time is 21 Working Days.
- Paused clock. The 21-Working-Day clock pauses while we are awaiting your input, feedback, materials, approvals, or accounts, and resumes when you provide what is needed. Delay caused by slow Client responses extends the timeline and is not a basis for a refund.
- Scope changes. Any work beyond the agreed Sprint scope is quoted in writing and approved by you before that work begins.
- Ownership. You own the Deliverables upon full payment, as described in Section 11.
8. Client Responsibilities
To help us deliver on schedule, you agree to:
- Provide timely feedback, approvals, and decisions.
- Supply the materials, content, access, and accounts we reasonably require.
- Represent and warrant that you own or hold all necessary rights and licenses to any Client Materials you provide, and that those materials do not infringe the intellectual property, privacy, or other rights of any third party.
9. Fees, Taxes & Payment
All Fees are stated and payable in U.S. Dollars (USD). Card payments are processed by Stripe. Zero Thinkers LLC does not collect, store, or have access to your full card number; card data is handled directly by Stripe under Stripe's own terms. You are responsible for any applicable taxes, duties, or similar charges, other than taxes on our income. Invoices are due as stated on the invoice or in the applicable Proposal or SOW. If Fees are not paid when due, we may suspend or stop work, withhold Deliverables until payment is received, and retain the initial 50% payment as described in the Refund & Cancellation Policy.
10. No Transfer Until Paid in Full
No ownership, license, or transfer of any Deliverable passes to you until the Fees for the applicable Engagement are paid in full. Until then, all rights in work in progress and in the Deliverables remain with Zero Thinkers LLC.
11. Intellectual Property
- Deliverables. Upon full payment of the Fees for an Engagement, you own the final Deliverables (including files, site, and accounts) as specified in the applicable Proposal or SOW.
- Pre-Existing Materials. We retain all rights in our Pre-Existing Materials, tools, and know-how. To the extent any Pre-Existing Materials are embedded in a Deliverable, we grant you a non-exclusive, perpetual license to use them as part of that Deliverable.
- Third-Party Materials. Third-Party Materials remain subject to their own licenses, which are passed through to you; you are responsible for complying with those licenses.
- Portfolio. Unless the parties agree otherwise in writing, we may display and describe the work we perform for you in our portfolio and marketing materials, excluding any Client information designated as confidential and subject to the confidentiality obligations in Section 13.
12. Refunds & Cancellation
Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms. In summary, services are professional services delivered to an agreed scope; the initial 50% is refundable before work begins (less any third-party costs already incurred) and is non-refundable once work has begun, because it covers reserved time and work performed. The specifics in the Refund & Cancellation Policy govern.
13. Confidentiality
Each party may receive non-public information from the other in connection with an Engagement. Each party agrees to protect the other party's non-public information, to use it only for the purposes of the Engagement, and not to disclose it to others except as reasonably needed to perform the Services. This obligation does not apply to information that is or becomes public through no fault of the receiving party, is independently developed without use of the other party's information, is rightfully received from a third party, or is required to be disclosed by law (in which case the receiving party will give reasonable notice where lawful). For clarity, our display and description of completed work in our portfolio and marketing materials as permitted under Section 11 is a permitted use, provided it excludes any Client information designated as confidential.
14. Disclaimers
We provide the Services in a professional and workmanlike manner. We do not guarantee, represent, or warrant any specific business, revenue, traffic, ranking, sales, conversion, or growth outcome; such results depend on many factors outside our control. Except as expressly stated in these Terms or an applicable Proposal or SOW, and to the fullest extent permitted by law, the Services and this website are provided on an "as is" and "as available" basis, and we disclaim all other warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the fullest extent permitted by law, the total aggregate liability of Zero Thinkers LLC arising out of or relating to an Engagement or these Terms will not exceed the total Fees actually paid by you to us for the specific Engagement giving rise to the claim. To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, and this Section applies only to the extent such limitation is permitted.
16. Indemnification
You agree to indemnify and hold harmless Zero Thinkers LLC from and against any third-party claims, damages, liabilities, and reasonable costs (including reasonable legal fees) arising out of or relating to the Client Materials you supply, or your breach of the representations and warranties you make in these Terms (including your representation that you own or are licensed to use the Client Materials).
17. Term & Termination
An Engagement begins when you accept the applicable Proposal or SOW, or make the initial payment, and continues until the Services are completed or the Engagement is terminated. Either party may terminate an Engagement for material breach if the breach is not cured within ten (10) Working Days after written notice describing it. On termination, you agree to pay for Services performed up to the effective date of termination (with deposit treatment as described in the Refund & Cancellation Policy), and we will hand over the Deliverables you have paid for in full. Sections concerning intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive termination.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Before starting any formal proceeding, the parties agree to first attempt to resolve any dispute informally and in good faith by contacting us at bhargav@zerothinkers.com and allowing a reasonable period (at least thirty (30) days) to reach a resolution. If the dispute is not resolved, the parties agree to the exclusive jurisdiction and venue of the state and federal courts located in the State of Wyoming, USA.
19. Recurring and Ongoing Engagements
These Terms also apply to any ongoing or recurring Engagement, such as a Growth Partnership billed monthly, as described in the applicable Proposal or SOW. The specific billing frequency, amount, and cancellation terms of any recurring Engagement are set out in that Proposal or SOW.
20. Changes to These Terms
We may update these Terms from time to time. Changes take effect when we post the updated Terms with a revised Effective Date. The version of these Terms in effect at the time you enter into an Engagement or make a purchase governs that Engagement. Your continued use of the website or Services after an update constitutes acceptance of the updated Terms.
21. Miscellaneous
These Terms, together with any applicable Proposal or SOW, the Refund & Cancellation Policy, and the Privacy Policy, constitute the entire agreement between you and Zero Thinkers LLC regarding the Services and supersede any prior agreements on that subject. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign or transfer these Terms or any Engagement without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
